Terms of Service

1. Acceptance of Terms

By creating an account or using CurtainCall (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

CurtainCall is a production management platform for performing arts organizations. It provides tools for scheduling, contract management, performer portals, and payment processing. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. You may not share account access with individuals outside your organization.

4. Subscriptions and Billing

After the 30-day free trial, continued use of the Service requires a paid subscription at the then-current rate (currently $10 per seat per month). Subscriptions are billed monthly in advance. Failure to pay may result in suspension of your account. All fees are non-refundable except as required by law.

5. Your Data

You retain all ownership rights to the data you upload or create within the Service. You grant us a limited license to store, process, and display your data solely for the purpose of providing the Service. We do not sell your data to third parties.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Transmit harmful, fraudulent, or misleading content.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use automated means to scrape or extract data from the Service without our written consent.

7. Intellectual Property

The CurtainCall name, logo, and all software, designs, and content comprising the Service are owned by us or our licensors. Nothing in these Terms grants you any right to use our trademarks or intellectual property outside of using the Service as intended.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.

10. Termination

Either party may terminate at any time. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted. You may export your data at any time while your account is active.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Delaware.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service. Continued use after the effective date constitutes acceptance of the revised Terms.
